This Hold Harmless Agreement is made and entered into as of this 30th day of September, 2026, by and between Buffalo Arts Studio, with an address at 2495 Main St, Suite 500, Buffalo, NY 14214, and BASH Ticket Holders.

1. Purpose.
The purpose of this Agreement is to indemnify and hold harmless Buffalo Arts Studio from any and all claims, actions, damages, liabilities, and expenses arising out of and/or relating to your attendance at BASH and use of the parking lots, sidewalks, and common areas of the Trimain building.
2. Hold Harmless.
BASH Ticket Holders agree to indemnify, defend, and hold harmless Buffalo Arts Studio from and against any and all claims, losses, damages, liabilities, costs, and expenses arising out of and/or relating to your attendance at BASH and use of the parking lots, sidewalks, and common areas of the Trimain building, except to the extent caused by the gross negligence or willful misconduct of the Indemnified Party.
3. Duration.
This Agreement shall be effective as of the date first written above and shall remain in effect until 11/08/2026.
4. Governing Law.
This Agreement shall be governed by and construed in accordance with the laws of the State of New York.
5. Entire Agreement.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, whether written or oral.
